A great many foreign owners in Thailand hold assets through arrangements that were entirely ordinary when they were set up and have not been examined since. What has changed is not the law so much as the attention: since the beginning of 2026 the Department of Business Development has required proof of source of funds when companies are formed, and since April those checks have extended to amendment filings. In practice that means a routine change of director or address can open a file on a structure that has sat quietly for a decade.

The point of reviewing now is simple arithmetic. An owner who looks while nothing is happening has the full range of lawful options: restructure, convert to a registrable right, bring in genuine Thai capital, seek promotion, or sell in an orderly way at a proper price. An owner who looks because a bank, a buyer or a registrar has raised a question has fewer options, less time and a weaker position. Nothing about that is dramatic. It is simply how these things go.

What a review involves.

A short form, then a conversation. You do not need documents in front of you and you do not need to know whether anything is wrong. Most people do not, which is the reason to look.

Title documents, the company affidavit and shareholder list, share transfers, accounts and filings, remittance evidence. We send a list matched to what you actually hold, and help you assemble it.

Counsel reviews it, independently.

A qualified Thai lawyer, instructed independently of whoever set the structure up, forms a view on your position. That independence matters: the firm that built a structure is rarely the right one to judge it.

You get a plain answer and options.

Where the position is sound, you will be told so and can stop worrying. Where it is not, you will see the lawful routes available, what each involves, and what it is likely to cost in time and money.
